The Law of Charity

The Law of Charity is a principle in contract law stating that ambiguous or unclear terms in an agreement should be interpreted in favor of the party who did not draft the contract. If a contract's language is vague, courts favor the interpretation that benefits the non-drafting party to promote fairness and prevent unfair advantage. Essentially, it ensures that ambiguities don’t unfairly favor the party that created or controlled the language, encouraging clear, precise contractual drafting and protecting parties from disadvantages caused by ambiguous wording.
