Non-disclosure, in the context of contract defenses, occurs when one party does not disclose important information that could influence the other party's decision to enter into a contract. This lack of transparency can make a contract unenforceable if the hidden information is significant enough and the non-disclosing party had a duty to reveal it. For instance, if a seller knows about a major defect in a product but fails to mention it, the buyer could argue that the contract is not valid because they were misled by this non-disclosure.
