Contractual Intent

Contractual intent refers to the intention of parties to create a legally binding agreement when they engage in negotiations or make promises to each other. For a contract to be valid, all parties must clearly show that they intend for their agreement to be enforceable by law. This intent is often demonstrated through clear communication, confirmed terms, and mutual consent. If one party does not intend to be bound by the agreement, or if the terms are vague or ambiguous, the contract may not hold up in a legal context.
